1. Agreement to Terms

These Terms & Conditions ("Terms") govern your access to and use of the LeadiumX ringless voicemail (RVM) and messaging platform and related services (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The Service

LeadiumX lets businesses create and deliver pre-recorded voicemails and communications to contacts they own. You are responsible for the content of your campaigns, the accuracy of your contact lists, and compliance with all applicable laws.

3. Acceptable Use & A2P Compliance

You represent and warrant that, for every message you send through the Service, you have obtained prior express consent from the recipient as required by the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act (where applicable), CTIA messaging guidelines, carrier Application-to-Person (A2P) 10DLC rules, and all other applicable federal, state, and local laws. You agree to:

• Send only to recipients who have consented to be contacted by you, and keep verifiable records of that consent;
• Honor opt-out / Do-Not-Contact requests immediately and permanently, and not attempt to circumvent suppression lists;
• Send only during permitted local calling hours and respect our automated time-window controls;
• Clearly and truthfully identify yourself as the sender and the purpose of your message;
• Not transmit unlawful, fraudulent, harassing, deceptive, or prohibited content, including SHAFT-category content (sex, hate, alcohol, firearms, tobacco) where prohibited by carriers or law; and
• Not use the Service for emergency, high-risk, or safety-critical communications.

You are solely responsible for your compliance. LeadiumX provides compliance tooling (DNC suppression, local-hour windows, opt-out handling) as an aid, but this does not transfer legal responsibility to us. You agree to indemnify LeadiumX against any claims arising from your use of the Service in violation of these Terms or applicable law.

4. Credits, Plans & Billing

• The Service uses a credit system: one successfully delivered voicemail consumes one credit. Failed deliveries are not charged.
• Plans provide a monthly credit allotment. You may upgrade, downgrade, or purchase additional credit packs at any time from your billing dashboard.
• Fees are billed in advance and are non-refundable except where required by law. Plan changes take effect according to your billing cycle.
• Promotional credits, if any, have no cash value and may expire.

5. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

6. Suspension & Termination

We may suspend or terminate your access to the Service at any time, without notice, if we believe you have violated these Terms, applicable law, or carrier requirements, or if your use poses a risk to the Service or other users.

7. Disclaimers & Limitation of Liability

The Service is provided "as is" without warranties of any kind. Delivery of voicemails depends on third-party carriers and is not guaranteed. To the maximum extent permitted by law, LeadiumX shall not be liable for any indirect, incidental, or consequential damages, and our total liability shall not exceed the amounts you paid us in the twelve months preceding the claim.

8. Changes to These Terms

We may update these Terms from time to time. We will post the revised version with a new "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
